("Match Vest Capital" or "we" or "us"), a company registered in State of Nevada, USA, whose registered office is 3675 S. Rainbow Blvd. Suite 107-426, Las Vegas, CA 89103.

This legal notice applies to the entire contents of this website under the domain www.matchvestcapital.com ("Website") and to any correspondence by e-mail between us and you. Please read these terms and conditions carefully before using this Website. Using this Website indicates that you accept these terms without modification regardless of whether or not you choose to register with us as a member and constitutes you being a party to this Agreement. If you do not accept these terms, do not use this Website.

Once you have completed your online registration procedure and your account has been activated you have entered into a legally binding contract for the provision of the matchvestcapital.com service (the "Service").

1. Eligibility. You must be eighteen or over to register as a user of Matchvestcapital.com or use the Website. Use of the Service is invalid where it has been prohibited. By using the Website, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement.

2. Registration and Scope of Service. You may become a registered user of the Service at no cost. As a registered user you will have the ability to participate in some, but not all, of the features and services available within the Service. In order to access additional features and services, including posting your deal on matchvestcapital.com and communicating with other members, you will be required to pay for those additional services. Please see our Terms and Conditions of Sale for a description of the current service rates and related information. This rate list is part of this Agreement. We can change the fees for the Service at any time without notice.

Scope of Service. The Service enables you to 1) post your deal on the Matchvestcapital.com website, 2) search for deals, 3) purchase contact information for deals in which you have an interest, 4) search for funding sources, 5) purchase the contact information of funding sources you would like to contact, and 6) related ancillary services. Matchvestcapital.com is not a broker/dealer, investment bank, investment fund, bank or similar financial institution. We are an introductory and matchmaking service and we are obligated to successfully introduce you to a funding source that will fund your deal, nor are we obligated that a deal to whom you are introduced will be agreeable to your funding interest.

3. Term and Termination. This Agreement will remain in full force and effect while you are a registered user of the Service. You may terminate your registered user status at any time, for any reason, effective upon receipt by us of your written or email notice of termination. We may immediately terminate your registered user status and your access to the Service at any time because you have breached this Agreement and will send you notice of termination at the email address you provide in your application to be a registered user or such other email address as you may later provide to us. We can terminate this Agreement at any time by giving you reasonable advance written notice.

Matchvestcapital.com may deactivate the accounts of members who have not used the Service for a period of six months or more (as calculated by the date of last connection to the Service).

4. Use by Members. The Website is for the purposes of matching business opportunities with funding sources. Illegal and/or unauthorized uses of the Website, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Website will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress.

5. Proprietary Rights in Content on Matchvestcapital.com. Matchvestcapital.com owns and retains all proprietary rights in the Website and the Service. The Website contains the copyrighted material, trademarks, and other intellectual property and proprietary information of Matchvestcapital.com, and its licensors. Except for that information which is in the public domain or for which you have been given written permission, you may not copy, modify, publish, transmit, distribute, perform, reproduce, license, create derivative works from, transfer display, or sell or re-sell any such intellectual property or proprietary information.

6. Content Posted on the Site and Prohibited Content.
a. The information that you supply to Matchvestcapital.com and post on the Website must be accurate and conform to reality.
b. Other than personally identifiable information which relates to a business enterprise that can be identified from that information, which will be used in accordance with our Privacy Policy, any material that you transmit or post to this Website will be considered non-confidential and non-proprietary. We will have no obligations with respect to such material. We and our designees will be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes.

e. By posting Content to any public area of Matchvestcapital.com, you automatically grant, and you represent and warrant that you have the right to grant, to Matchvestcapital.com an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing.
f. The following is a partial list of the kind of Content that is illegal or prohibited on the Website. h. You shall not include in your deal profile any telephone numbers, street addresses, last names, URLs or email addresses.
i. You shall not engage in advertising to, or solicitation of, other members to buy or sell any products or services through the Service other than those services for which the site is intended.

Although Matchvestcapital.com cannot monitor the conduct of its members off the Website, it is also a violation of these rules to use any information obtained from the Service in order to contact, advertise to, solicit, or sell to any registered user for any other purposes other than that for which the site is intended. 7. Prohibited Activities. Matchvestcapital.com reserves the right to investigate and terminate your registered user status if you have misused the Service, or behaved in a way which could be regarded as inappropriate or whose conduct is unlawful or illegal. You consent to us using this information to build up a profile of interests, preferences and browsing patterns and to allow you to participate in the Services. In the event that a claim or action is brought against us from your activities or use of the Website or the Service, including any breach by you of this Agreement or any charges or complaints made by other parties against you, you agree to pay, hold harmless and defend us in the claim or action. You also agree to cooperate as fully as reasonably required in the defense of any claim and allow us to assume the exclusive defense and control of the matter.

19. U.S. Export Controls. Software from this Website (the Software") is further subject to United States export controls. No Software may be downloaded from the Website or otherwise exported or re-exported (i) into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria, or any other Country to which the U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. 21. Assignment. Matchvestcapital.com. may, and you may not, assign, convey, subcontract or delegate rights, duties or obligations hereunder.

22. Relationship. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Matchvestcapital.com. as a result of this agreement or use of this Website.

23. Disputes. If there is any dispute about or involving the Website and/or the Service, by using the Website, you agree that the dispute will be governed by the laws of England and Wales without regard to its conflict of law provisions. You agree to personal jurisdiction by and venue in the courts of the State of Nevada, USA.

24. Other. This Agreement, accepted upon use of the Website and further affirmed by becoming a registered user of the Service, contains the entire agreement between you and Matchvestcapital.com regarding the use of the Website and/or the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
